What is Business Litigation

Sometimes business disputes arise, and when they can’t be resolved through negotiation or arbitration proceedings, litigation can be used as a tool to resolve the situation. Contract Disputes

Contracts are the foundation of most business activities.  We have experience litigating breach of contract matters between businesses, among the owners of a business, or between a business and its customers.  Even if an individual or business has not breached an express provision in a contract, contracts have certain implied promises, including the duty of good faith and fair dealing.

Business Torts

When individuals and businesses engage in improper conduct outside of a contract, there may be an allegation of a business tort.  It may appear that one side was unjustly enriched or enagaged in conduct which amounts to tortious interference with an existing contract or a prospective/anticipated economic gain.  Under the law, such actions may give rise to a cause of action and you may be entitled to damages.

Partnership Disputes

An internal dispute between partners or shareholders creates serious problems for both the individuals involved and the company's future. At Leighton Feldman, we can help pursue a resolution involving shareholder agreements, partnership agreements, and limited liability (LLC) agreements. We also have experience addressing buy-outs and oppressed minority shareholder disputes.
